1. Accepting These Terms

By accessing or using DimsumX — including browsing the platform, creating an event, RSVPing, or making a payment — you agree to be bound by these Terms & Conditions. If you do not agree, do not use the platform.

We may update these Terms at any time. For material changes (such as pricing or significant policy shifts), we will provide at least 30 days' notice via email or platform notice before changes take effect. Continued use after changes take effect constitutes acceptance.

2. About DIMSUMX

DimsumX is a marketplace platform that connects independent hosts with guests for curated dining experiences. We provide:

• Event creation and listing tools
• RSVP and guest management
• Payment processing (via Stripe)
• Menu coordination and logistics support
• Communication between hosts, guests, and restaurants

DimsumX does not attend, operate, or staff events. We are a technology platform only. Hosts are independent organizers — not employees or agents of DimsumX.

3. Our Role — What We Are and Are Not Responsible For

Events on DimsumX are organized by independent hosts using our platform. DimsumX is not responsible for:

• Event cancellations or changes made by hosts
• The accuracy of event descriptions, menus, or details provided by hosts
• Food quality, taste, preparation, or presentation (the restaurant is solely responsible)
• Food allergies or dietary accommodations (guests must communicate directly with the restaurant)
• Guest behavior, disputes, conflicts, or harassment at events
• Injuries, accidents, or property damage occurring at the event venue
• Alcohol-related incidents
• Attendance or no-shows by guests or hosts

Attendance at DimsumX events is at your own risk.

If you have a dispute or concern regarding an event, contact the host directly. Hosts are responsible for communicating with guests and resolving event-level issues.

4. Who Can Use DIMSUMX

You must be at least 18 years old to use DimsumX. By using the platform, you represent that you meet this requirement. We reserve the right to suspend or terminate access if we reasonably believe a user does not meet eligibility requirements.

You may not use DimsumX if you are:

• Under 18 years of age
• Barred from using the platform under applicable law
• Acting on behalf of a competing event platform without written permission from DimsumX

5. Payments & Pricing

How Pricing Works

Ticket prices are set collaboratively by the host and DimsumX based on a restaurant quote. Prices reflect actual costs and platform operations.

For standard events, DimsumX charges a 15% platform service fee displayed as a separate line item at checkout. This fee covers platform operations, logistics support, and payment processing.

Pricing structures, including platform fees, may vary by event. Service fees will be displayed at checkout where applicable. Some early, promotional, or specially negotiated events may not include a separate platform service fee. The applicable fee structure will always be shown before you complete your purchase.

Payment Flow

All payments are processed through Stripe. Each ticket price covers:

1. Restaurant cost — food and venue
2. Payment processing fee — Stripe transaction fee (2.9% + $0.30 for credit card payments)
3. Platform service fee — DimsumX's 15% fee for operating the platform (where applicable)

DimsumX does not store full payment card details. All payment data is handled securely by Stripe.

Host Compensation

Hosts are not currently compensated monetarily. In some cases, hosts may receive a complimentary meal. Future host compensation structures may be introduced and will be communicated separately.

Sponsorships

All platform sponsorships are owned by DimsumX. If a host independently sources a sponsor, they may earn up to 10% commission on that sponsorship — but only with prior written approval from DimsumX. Unauthorized sponsorship arrangements are prohibited.

Add-ons & Merchandise

Badges, gift cards, and any other add-on items are owned and sold exclusively by DimsumX. Hosts may not sell or distribute add-ons without written authorization.

6. Cancellations & Refunds

All sales are final. DimsumX does not offer cash refunds under any circumstances.

Host Cancellation Policies

Cancellation windows vary by event. Each event listing will display the host's cancellation policy. Hosts set their own cancellation window based on their event logistics (e.g., venue buyouts, fixed restaurant commitments). Always check the specific event listing before purchasing.

Platform-Wide Rules (Apply to All Events)

The 24-hour rule is a hard floor. No matter what cancellation window a host sets, no cancellations are accepted within 24 hours of the event start time. This protects restaurant headcount commitments that are finalized the day before.

Processing fee: The Stripe payment processing fee (2.9% + $0.30) is non-refundable on all cancellations. This fee is charged by our payment processor and is not retained by DimsumX.

Platform-initiated cancellations: If DimsumX cancels an event, guests will receive a full refund including the processing fee.

7. Tax Compliance

DimsumX is responsible for calculating, collecting, and remitting all applicable sales tax and marketplace facilitator tax obligations arising from transactions on the platform. Applicable taxes are passed through to guests and displayed at checkout. Hosts are not responsible for tax compliance on platform transactions.

The restaurant cost portion of your ticket may already reflect the restaurant's applicable food and beverage taxes. DimsumX collects and remits tax on the platform service fee portion only, in accordance with applicable state and local law.

8. Platform Rights & Control

DimsumX reserves the right, at its sole discretion, to:

• Cancel or modify any event at any time
• Remove or suspend any user (host or guest) for any reason
• Reject event submissions that do not meet platform standards
• Adjust platform fees and pricing with at least 30 days' notice for material changes
• Modify these Terms at any time per Section 1
• Terminate accounts that are inactive, abusive, or in violation of these Terms

9. Host Responsibilities & Conduct

Hosts are independent organizers who use DimsumX to run events. By hosting, you agree to:

• Communicate clearly and promptly with guests before and during the event
• Accurately represent the event, menu, venue, and experience in your listing
• Arrive prepared and facilitate the event experience
• Represent the DimsumX brand professionally at all times
• Obtain any required permits, licenses, or approvals for your event

Hosts may not:

• Misrepresent event details, food, or the experience
• Sell unauthorized merchandise, sponsorships, or add-ons
• Use the DimsumX name, logo, or brand outside approved contexts
• Copy or replicate the DimsumX event format for independent commercial use
• Collect or use guest data outside of the platform for any purpose

DimsumX may remove a host or reject an event for any reason.

10. User Conduct

All users (hosts and guests) agree not to:

• Use the platform for any unlawful or fraudulent purpose
• Harass, threaten, or discriminate against any other user
• Engage in aggressive selling, recruiting, or solicitation at events
• Impersonate any person or falsely represent their affiliation
• Scrape, copy, or extract platform data by automated or manual means
• Attempt to circumvent platform fees, restrictions, or security measures
• Solicit personal information from minors

11. AI & Future Technology

DimsumX may use automated or AI-driven technology to improve matching, personalization, and platform recommendations. Where AI influences your experience in a material way, we will provide notice and, where required by applicable law, a disclosure of how that AI logic works.

By using DimsumX, you grant us a worldwide, non-exclusive, royalty-free license to use your interactions and platform data to improve our matching algorithms and user experience. We do not sell this data. Third-party AI providers we use (such as for analytics or matching) operate under enterprise privacy agreements and, to our knowledge, do not use your data to train their foundational models — but you should review their policies for the most current information.

12. Platform Failures & Technical Issues

If a platform failure (payment processing error, RSVP system outage, or other technical issue caused by DimsumX) materially impacts your event or ticket, contact us at community@dimsumx.com. We will review on a case-by-case basis and may issue a credit at our discretion. This does not apply to issues caused by third-party services (restaurants, venues, payment processors) or user error.

13. Intellectual Property

All DimsumX branding, platform design, event formats, content, and technology are the exclusive property of DimsumX. You may not:

• Copy, replicate, or commercialize the DimsumX event format
• Use the DimsumX name, logo, or brand without written permission
• Reverse engineer, scrape, or create derivative products based on the platform

User Content: By posting content on DimsumX (event descriptions, photos, etc.), you grant DimsumX a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the platform.

14. Indemnification

You agree to defend, indemnify, and hold harmless DimsumX and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Any event you host or attend
• Any content you post or submit
• Your violation of any third-party rights

15. Disclaimer of Warranties

The DimsumX platform is provided on an "as is" and "as available" basis. DimsumX expressly disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

DimsumX makes no warranty that the platform will be uninterrupted, error-free, or secure.

16. Limitation of Liability

To the maximum extent permitted by law, DimsumX will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including loss of data, revenue, or goodwill.

In no event will DimsumX's total liability to you exceed the amount you paid to DimsumX in the six (6) months preceding the claim, or $100, whichever is greater.

17. Dispute Resolution

We'd rather resolve issues directly. If you have a concern, contact us first at community@dimsumx.com. We'll attempt to resolve any dispute informally within 60 days.

If informal resolution fails, disputes will be resolved through binding arbitration under applicable arbitration rules. You waive your right to a jury trial or class action. You may still bring individual claims in small claims court where eligible.

18. Governing Law

These Terms are governed by the laws of the State of Maryland. Any disputes not subject to arbitration shall be resolved in the courts of Maryland.

Claims must be filed within one (1) year of the event giving rise to the claim or they are forever barred.

19. Termination

DimsumX may suspend or terminate your account at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the platform ceases immediately.
